Terms of Use

These Terms of Use ("Terms") govern your access to and use of the AZ AutoMoto website and services (the "Services"), operated by AZAutoMoto Inc. ("AZ AutoMoto", "we", "us"). By accessing the Services you agree to these Terms. If you do not agree, please do not use the Services.

1. Who we are and what we do

AZ AutoMoto is a business-to-business platform that helps European dealerships source, inspect, import and take delivery of vehicles and parts from North America. We act as an intermediary and service provider. Unless a written agreement expressly states otherwise, we are not the manufacturer or retail seller of the vehicles presented on the platform.

2. Eligibility and accounts

The Services are intended for businesses and professional buyers. By using them you confirm that you are acting on behalf of a business and have authority to enter into agreements. If you create an account, you are responsible for keeping your credentials confidential and for all activity that occurs under your account. You agree to provide accurate, current and complete information.

3. Vehicle information and listings

Listings, specifications, photos, inspection notes and availability are provided for general information and may originate from third parties. While we take reasonable care, we do not warrant that such information is complete, accurate or error-free, and details may change. Vehicles are offered subject to prior sale and to independent inspection. Nothing on the platform constitutes a binding offer until confirmed in writing by us.

4. Quotes, orders and pricing

Quotes are indicative and valid only for the period stated. Prices may exclude shipping, insurance, duties, taxes, homologation, registration and other fees unless expressly stated. An order becomes binding only when confirmed by us in writing and, where applicable, upon receipt of any required deposit. We reserve the right to decline or cancel an order in case of pricing errors, unavailability or suspected fraud.

5. Sourcing, import, duties and delivery

Delivery timelines are estimates and may be affected by transport, customs, weather and other factors beyond our control. Import duties, taxes, homologation and registration in the destination country are the buyer's responsibility unless the written agreement states otherwise. Transport is carried out by third-party carriers; risk and title pass as set out in the applicable order or governing commercial terms (e.g. Incoterms) agreed in writing.

6. Parts requests

Parts availability, compatibility and pricing are confirmed on a per-request basis. You are responsible for providing accurate vehicle and part details. Sourced parts are subject to the same order-confirmation and delivery terms described above.

7. Acceptable use

You agree not to misuse the Services, including by attempting to disrupt the platform, access it without authorization, scrape or harvest data, submit false information, or use the Services for any unlawful purpose. We may suspend or terminate access that breaches these Terms.

8. Intellectual property

The platform, its content, branding, and software are owned by AZ AutoMoto or its licensors and are protected by applicable laws. You may not copy, reproduce or create derivative works without our prior written consent, except as necessary to use the Services normally.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, secure or error-free.

10. Limitation of liability

To the fullest extent permitted by law, AZ AutoMoto shall not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue or data, arising out of or in connection with the Services. Our total aggregate liability in connection with a transaction shall not exceed the fees actually paid to us for that transaction. Nothing in these Terms limits liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify and hold harmless AZ AutoMoto from any claims, damages or expenses arising from your breach of these Terms or your misuse of the Services.

12. Third-party links and services

The Services may reference or link to third-party providers (e.g. carriers, inspection or financing partners). We are not responsible for the content, products or services of third parties, and your dealings with them are at your own risk.

13. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we handle personal data. Please review it to understand our practices.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. Governing law and disputes

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The courts of the Province of Quebec, Canada shall have exclusive jurisdiction over any dispute, unless mandatory law provides otherwise.
